Our Client, a Global Investment Bank, is seeking a Legal Counsel in their New York, NY location.
Responsibilities:
- Advise on contractual negotiations, including IP protections, cybersecurity, data privacy, AI, and regulatory compliance in financial services.
- Review and negotiate non-disclosure agreements.
- Conduct risk reviews and due diligence of third-party suppliers, analyzing regulatory developments and contractual provisions.
- Draft and structure intragroup agreements between the Bank and its affiliates.
- Collaborate with cross-functional teams to provide legal guidance on strategic initiatives.
- Perform legal research and enhance legal templates, negotiation guidelines, and commercial playbooks.
- Monitor regulatory changes, industry trends, and best practices.
- Manage relationships with outside counsel and oversee legal costs.
- Ensure compliance with the Bank’s risk appetite, Code of Conduct, and business controls.
- Develop competency in unfamiliar legal practice areas.
Requirements:
- 10 years experience as a licensed attorney in good standing admitted or otherwise authorized to practice law in the state of New York.
- Deep understanding of vendor agreements, licensing agreements, process services agreements, SaaS agreements, engagement letters, non-disclosure agreements, market data agreements and other similar documents.
- Working knowledge of software licensing, intellectual property, data privacy, artificial intelligence and cybersecurity considerations in third party agreements within the financial services industry.
- Prior financial institution experience
- Strong analytical, problem-solving, communication, and stakeholder management skills.
- Licensed attorney in New York.
