The Legal Counsel will be primarily responsible for drafting, reviewing, negotiating, and managing commercial contracts. This role will work closely with Sales, IT, Logistics, Finance, Management, and General Counsel in developing and maintaining agreements. Legal Counsel will also provide legal support for compliance, corporate governance, and litigation.
PRIMARY DUTIES & RESPONSIBILITIES
- Responsible for drafting, issuing, negotiating, and managing contracts through to execution in accordance with the Company’s business policies and practices.
- Act as the primary point of contact to answer questions related to the contract, resolve issues as appropriate, manage the redline process, and review contractual terms and conditions to achieve acceptable language.
- Provides support to the commercial teams by reviewing and providing feedback on RFPs.
- Works closely with the commercial and legal teams to manage commercial risks and returns during contract negotiation with customers, distributors, and vendors.
- Engages with and escalates to appropriate department leaders to ensure risks are identified and mitigated/managed for contracts.
- Manages existing contracts through the term of the contracts, including evaluates and monitors contract performance to determine necessity for amendments, extensions or terminations of contracts, and compliance with contractual obligations.
- Accurately and efficiently store executed contracts in the contract management system for ease of access and retrieval.
- Maintain and organize a comprehensive database of all contracts and legal documents.
- Drive continuous improvement initiatives in the contract management process.
- Liaise and communicate effectively across all levels of the organization to improve knowledge and understanding of contractual terms and their impact on business.
- Provide support to improve legal operational efficiencies and processes.
- Provide support to ensure compliance with relevant laws and regulations.
- Provide support to manage litigation and dispute resolution.
- Support corporate governance and compliance initiatives.
Typical Knowledge, Skills, & Abilities:
- Juris Doctor (JD) degree from an accredited law school.
- Active bar membership in the relevant jurisdiction.
- Minimum of 3+ years of experience in commercial contract law, preferably in manufacturing / consumer goods industry or corporate environment.
- Strong experience in contract law, commercial transactions, and corporate governance.
- Extensive experience reviewing and interpreting commercial contractual terms and effectively communicating with a variety of internal and external stakeholders.
- Identifying and managing commercial issues and outcomes in contract negotiations.
- Excellent skills in using the Microsoft Office Suite, legal management software, and digital signing software.
