Position: Senior Legal Counsel
Location: Hybrid (3 days onsite) in Morristown, New Jersey, USA
Key Responsibilities
Provide legal advice and guidance on various corporate legal matters, ensuring compliance with US laws and regulations.
Draft, review, and negotiate contracts, including commercial agreements, licensing agreements, and IT product and services agreements.
Assist in the development and implementation of corporate governance policies and procedures aligned with best practices in the U.S.
Conduct legal research and analysis on regulatory compliance matters, including employment law and other relevant areas.
Provide comprehensive legal support for mergers and acquisitions, including conducting due diligence and drafting transaction documents.
Represent the company in dispute resolution proceedings, including arbitration and litigation, ensuring the company's interests are protected.
Qualifications
5+ years of post-qualification experience, preferably within a corporate legal department in the United States.
Strong analytical and problem-solving skills, with the ability to identify legal issues and provide practical, business-oriented solutions.
Excellent written and verbal communication skills, capable of conveying complex legal concepts clearly and concisely to diverse audiences.
Strong attention to detail and the ability to manage multiple projects simultaneously in a fast-paced environment.
Demonstrated ability to work independently as an individual contributor while also collaborating effectively with cross-functional teams.
Proven experience in drafting and negotiating commercial contracts, conducting due diligence for mergers and acquisitions, and representing clients in dispute resolution proceedings.
Graduation from a Tier-2 or Tier-3 law school in the USA or equivalent.
