Job Description
As the Legal and Compliance Manager, you will collaborate, build trust, and transcend hierarchies, borders, and locations. As the Legal Counsel for North America, you will directly report to the Head of Legal and Compliance and accompany the development of a globally positioned legal and compliance department. You will actively oversee legal matters of the business, provide strategic legal advice to the senior leadership team and business stakeholders and own responsibility for all legal operations, ensuring compliance and managing legal risks. The Legal Counsel will advise on key business decisions, essentially acting as the primary legal authority for the organization in the Americas.
- Provide counseling and legal advice on a full spectrum of business and legal topics as well as draft, review and negotiate a wide array of complex commercial agreements and legal documents.
- Oversight and handling of the corporate legal matters of U.S. legal entity and its subsidiaries, including coordination and communication with governmental authorities.
- Handling of contractual matters of the business in particular with regards to IT-Law related topics (e.g. SaaS business models, software license agreements etc.)
- Act as legal advisor to the business over the product life cycle by providing legal support during product development, going to market, for quality issues, as well for day-to-day business related legal matters.
- Hiring, coordination and monitoring of external counsel for specific legal matters and for foreign jurisdictions.
Qualifications
- Bachelor's degree in business administration, economics, finance, or political science preferred
- Juris Doctor (JD) from a law school accredited by the American Bar Association
- Membership with good standing in at least one U.S. State Bar
- Must have at least 5+ years of broad legal practice and knowledge, with a strong foundation across various legal domains, encompassing corporate law, contract law, employment law, regulatory compliance, and intellectual property.
- Ethical Judgment: Unquestionable integrity and a commitment to ethical conduct ensuring organizational compliance with legal and ethical standards.
- Problem Solving: Strong problem-solving skills to creatively address legal challenges and propose solutions in compliance with legal and ethical standards.
- Must have strong communication skills both written and verbal, with ability to translate and/or convey complex legal concepts clearly to executives, employees, and external stakeholders.
- Ability to think strategically and provide legal advice that aligns with the organization’s long-term goals, which requires forward-thinking, in anticipation of legal issues and provide active solutions.
- Demonstrated ability to manage confidential and sensitive information, possessing skills to handle situations in a professional and diplomatic manner.
- Strong business acumen with a high degree of self-motivation, and critical thinking skills.
- Proficiency in Microsoft Office, Internet Explorer, Outlook/Exchange; Windows operating systems; and other software routinely used within the business.
- Experience in a global environment preferred.
- Ability to travel up to 25% is required, both domestically and internationally.
