Job Summary
The Legal Counsel will work with the senior legal team supporting Urban Grid's development, construction, financing, and operation of solar power generation projects. The Legal Counsel will provide a wide range of legal services with an emphasis on commercial transactions, contracting, and operational regulatory matters. Responsibilities
- Working with internal construction, finance, M&A, development, procurement, and asset management teams on contracting and operational regulatory matters;
- Providing legal support on major transactions, including project financing, tax equity financing, restructurings and M&A transactions;
- Providing legal support on project development, construction and operations activities;
- Providing legal support on day-to-day contracting efforts, including engineering and consulting services agreements, nondisclosure agreements, and equipment procurement contracts;
- Working with paralegals on corporate secretarial and governance matters;
- Managing litigation matters through external counsel;
- Assisting in developing and implementing legal policies, processes, and standards; and
- Providing legal advice on a wide range of legal and business issues
Location: Position is local to Houston with a hybrid office policy. Position may require periodic travel for team meetings, events or determined on an as needed basis.
Requirements
- A minimum of three (3) years of legal experience working on complex commercial transactions;
- Experience in a top-tier law firm and/or as an in-house counsel for a leading corporation;
- A law degree (JD; LLM) and membership in a state bar is required;
- An understanding of the laws, regulations and rules applicable to the energy sector or a related regulatory environment will be considered as an asset;
- Demonstrated ability to provide business-oriented legal advice and recommendations;
- Familiarity with complex project development transactions in the energy industry, including construction, equipment supply, operations and maintenance, power sales agreements, joint ventures, credit agreements, interconnection and transmission agreements, leases and customary real estate agreements;
- Renewable energy experience valued, but not required;
- General corporate law experience, including corporate governance, drafting of corporate resolutions, joint venture agreements, operating agreements, charters and bylaws;
- Strong communication skills; ability to present clear and practical legal arguments;
- Excellent business judgment;
- Ability to work in a dynamic, fast-paced environment and to adapt quickly to changing priorities;
- Highly self-motivated and proactive; eager to take ownership over work product and able to advance work independently;
- Excellent interpersonal skills and a capacity to build strong working relationships;
- Ability to influence others and to gain support for his/her ideas;
- Strong analytical, problem solving and drafting skills combined with attention to detail and thoroughness; and
- Excellent organizational skills, effectively managing priorities while meeting deadlines
