Description
Radial Power is seeking a highly skilled and strategic General Counsel to join our executive management team. This hands-on legal role will report directly to the CEO and serve as the Corporate Secretary. The General Counsel will be responsible for overseeing all legal matters within the company, ensuring compliance, managing risk, and supporting strategic business initiatives. This role requires a dynamic individual who can navigate complex legal issues while providing strategic guidance to support the growth and success of Radial Power.
Key Job Responsibilities
Legal Strategy & Leadership:
- Develop and implement legal strategies aligned with Radial Power’s business objectives.
- Provide expert legal advice to the CEO, Board of Directors, and management team on a broad range of legal matters.
- Serve as a strategic business partner, contributing to the company’s overall strategy and decision-making process.
Corporate Governance & Compliance
- Act as the Corporate Secretary, ensuring compliance with corporate governance standards and maintaining corporate records.
- Oversee and manage all corporate governance matters, including Board meetings, minutes, and resolutions.
- Ensure the company complies with all applicable laws and regulations, including environmental, employment, and commercial laws.
Contract Management & Negotiation
- Draft, review, and negotiate contracts, agreements, and other legal documents.
- Manage and mitigate legal risks associated with contracts, transactions, and business operations.
- Collaborate with internal stakeholders to ensure contracts align with business objectives and legal requirements.
Risk Management
- Identify, assess, and manage legal risks across the organization.
- Develop and implement risk management policies and procedures to protect the company’s interests.
- Provide training and guidance to management and staff on legal and compliance matters.
Team Leadership
- Lead and manage a small legal team, providing mentorship and development opportunities.
- Coordinate with external legal counsel as needed to support specialized legal matters.
- Foster a collaborative and proactive legal culture within the organization.
- Other duties as assigned.
Required Education
Juris Doctor (JD) from an accredited law school.
Member in good standing of the State Bar of Texas.
Required Experience
A minimum of 10 years of legal experience, with at least 5 years in a senior legal role.
Other Skills
- Proven experience in corporate governance, compliance, and contract management.
- Strong understanding of energy and power sector regulations is preferred.
- Excellent negotiation, communication, and interpersonal skills.
- Ability to work effectively in a hybrid work environment.
