Our client is seeking a seasoned General Counsel to lead its legal operations, ensuring compliance, mitigating risks, and supporting strategic objectives. Reporting directly to the CEO, the General Counsel will provide legal guidance across corporate governance, regulatory compliance, project finance, development, litigation, and intellectual property while promoting ethical conduct and integrity.
Key Responsibilities:
- Provide legal counsel on corporate governance, regulatory matters, and contracts.
- Support project finance transactions for solar and energy storage projects, including tax equity partnerships and construction financing.
- Draft, review, and negotiate contracts such as PPAs, EPC agreements, and real estate site control documents.
- Develop compliance programs and assess legal risks, implementing mitigation strategies.
- Manage litigation, external counsel relationships, and dispute resolution.
- Oversee intellectual property protection, mergers and acquisitions, and employee legal training.
Qualifications:
- Juris Doctor (JD) from an accredited law school and active bar membership.
- 10+ years of legal experience, focusing on energy project finance.
- Expertise in corporate governance, compliance, and regulatory frameworks.
- Strong contract drafting and negotiation skills.
- Exceptional communication, leadership, and strategic advisory capabilities.
- Experience in the solar and energy storage industry preferred.
