Job Description
Our client is seeking a Corporate Paralegal at their offices in New York City 10158. This is a full time, direct hire role paying an annual base salary of $105K to $120K plus a performance-based bonus and excellent benefits package. The position will allow for remote work one day a week.
The ideal candidate will have experience handling commercial real estate transactions, including acquisitions, dispositions, financing, leasing, and title and survey review. They should also be familiar with corporate governance, entity structuring, and M&A transactions. This role requires strong organizational skills, attention to detail, and the ability to manage transaction workflows. The candidate will work closely with attorneys, clients, and third parties to ensure seamless transaction execution.
Duties And Responsibilities
Corporate Transactions & Compliance
- Assist attorneys with corporate transactions, M&A, securities filings, and private equity matters.
- Draft, review, and organize corporate governance documents (entity formations, resolutions, bylaws, operating agreements, stock purchase agreements).
- Conduct due diligence for M&A transactions, ensuring accuracy of corporate records.
- Assist with UCC searches/filings and SEC reports (Form D, Section 16).
- Handle business entity filings (formations, amendments, mergers, dissolutions) with agencies.
- Manage checklists, timelines, and communications with attorneys, clients, and third parties
- Maintain confidentiality and provide general paralegal support across practice areas as needed.
Real Estate Transactions
- Support all aspects of commercial real estate transactions, including acquisitions, dispositions, leasing, and financing.
- Review and analyze title commitments, reports, and surveys, resolving issues as needed.
- Conduct due diligence, including lease, loan, environmental, and zoning reviews.
- Prepare and manage closing checklists, transaction summaries, and timelines.
- Draft and organize closing documents, including deeds, loan agreements, lease amendments, and estoppel certificates.
- Coordinate closings, escrow management, and recording with attorneys and third parties.
- Assist with 1031 exchange transactions, including document preparation and coordination.
Qualifications
- 5+ years as a Real Estate & Corporate Transaction Paralegal in a mid-to-large law firm.
- Knowledge in commercial real estate transactions, including title/survey review, financing, leasing, and acquisitions/dispositions.
- Understanding corporate governance and M&A
- Ability to manage closings and transaction workflows independently.
- Strong organization, drafting, and research skills with attention to detail.
- Proficiency in document management and transaction tracking tools.
- Ability to prioritize multiple deadlines in a fast-paced environment.
- Experience with client billing and time entry systems.
Technology Proficiency
- Document & Case Management such as NetDocuments, iManage
- e-Signature Platforms: DocuSign, Adobe Sign
- Securities & Compliance: EDGAR
- Legal Research & Filings: Westlaw and corporate filing tools like EDGAR preferred.
