Position Description:
This in-house commercial counsel will play a key role in drafting, reviewing, and negotiating a wide range of commercial contracts, including vendor and supplier agreements, licensing, and partnership agreements. This individual will ensure that all agreements align with the company’s strategic objectives while minimizing legal risks. The ideal candidate will have 3 or more years of experience in commercial contracts, ideally within the aerospace or high-tech industry.
Responsibilities:
- Draft, review, and negotiate a variety of commercial agreements, including NDAs, MSAs, Service Orders, Statements of Work, partnership agreements, and vendor contracts
- Provide legal advice and support to internal stakeholders on contract interpretation, legal compliance, and risk management.
- Work closely with cross-functional teams, including procurement, engineering, and business development, to ensure legal terms align with business goals.
- Manage contract lifecycles, ensuring compliance with company policies and procedures.
- Identify and mitigate potential legal risks associated with commercial contracts.
- Stay informed of relevant regulatory changes and ensure the company remains compliant with aerospace industry standards.
- Support dispute resolution and manage any legal claims or contract disputes related to commercial transactions.
Requirements:
- J.D. from an accredited law school and active bar license in good standing in the state in which you currently reside.
- 3 or more years of substantive experience drafting, reviewing and negotiating commercial contracts such as supply chain/logistics agreements, master service agreements, manufacturing agreements, technology agreements, vendor agreements, nondisclosure agreements, licensing agreements, etc., preferably in the aerospace, defense, and/or technology sectors
- In-House experience preferred, but not required.
- Strong experience drafting and negotiating a wide range of commercial agreements.
- Knowledge of relevant industry regulations and standards, including FAR, ITAR, and export control laws, is a plus.
- Excellent communication and negotiation skills, with the ability to work effectively with cross-functional teams.
- Strong attention to detail and the ability to manage multiple projects simultaneously.
- Ability to work well under pressure, multi-task, meet deadlines, and function independently in a fast-paced environment.
- Ability interface directly with internal business clients, support staff, external resources, and other collaborators.
Preferences:
- Experience with aerospace or government contracts strongly preferred
Salary Range: $175,000 - $200,000/year
