About You
The Corporate Counsel will be a key member of the Company's legal team responsible for Independently negotiating and handling a wide range of complex commercial contracts and commercial real estate leases and providing business counsel and legal advice in connection therewith, providing counsel and support on labor and employment matters; and providing support over other corporate transactions that may arise from time to time.

Your Day in the Life
- Independently structure, draft, review and negotiate a wide range of complex commercial contracts and related arrangements, including customer and supplier terms and conditions, supply chain, merchandising and marketing contracts, large scale enterprise solutions and technology platforms, licensing, procurement and professional service agreements covering cross-functional areas of the business.
- Assist with legal aspects of franchise transactions, including drafting and reviewing franchise agreements, disclosure documents, and franchise-related negotiations.
- Partner with Human Resources to provide legal advice on employee relations matters, including employment agreements, terminations, employee disputes, and compliance with labor laws. Lead response to legal employment claims including EEOC, wage-and-hour disputes, and other HR-related legal matters.
- Review marketing materials, promotions, and campaigns to ensure compliance with applicable laws, advertising standards, and intellectual property rights.
- Manage and protect the company’s intellectual property portfolio, including trademarks, copyrights, and trade secrets, by overseeing registration, enforcement, and defense strategies, and conducting risk analysis to mitigate potential IP-related liabilities.
- Conduct legal research on emerging legal trends and regulations that may affect the business, including labor laws, franchise laws, and advertising regulations.
- Work collaboratively with a broad range of stakeholders and develop strong partnerships with operation leaders by providing excellent legal guidance and facilitating efficient resolution of commercial questions.
- Structure, analyze and advise on contract interpretation, breach issues, disputes, terminations and remedies.
- Proactively engage operation teams to review and evaluate business practices for legal risk and compliance. Provide legal counsel to operation leaders that effectively supports our teams and support growth and profit objectives while mitigating risk.
- Assist with drafting corporate policies and conducting training of legal and non-legal personnel within the areas of responsibilities outlined.
- Support the Vice President, Legal on general corporate matters as needed.
What You Bring to the Team
- Juris Doctor (JD) degree from an accredited law school.
- Membership in good standing to the State Bar of Colorado
- 5 years minimum of legal experience gained in law firm environment and/or in-house legal department, with experience drafting, reviewing and negotiating complex commercial agreements as well as managing labor and employment matters
- Experience in business licensing (preferred)
- Excellent communications skills, written and verbal
- Must be a team player, willing to jump in and help out wherever needed on projects
- Must also be a quick learner with strong internal motivation and possess initiative, integrity and resilience
- Ability to present information and reports to management timely, clearly and concisely
- Ability to collaborate, build relationships, gain credibility and partner with others in a complex organization in pursuit of the best possible business and legal terms
- Strong project management skills and work ethic, with great attention to details
- Ability to navigate, be comfortable with and have the flexibility to adjust in, a collaborative, intense, fast-paced, results-oriented environment
- Strong, pragmatic business acumen with the ability to recognize and communicate the business consequences of legal advice
