Our Client, A $20bn+ alternative asset manager is looking for an intelligent, highly organized, articulate, and motivated individual to join the legal and compliance team.
Primary Responsibilities:
- Work with external counsel and internal colleagues to create compliant marketing materials and fund formation documents
- Manage drafting, negotiation, and execution (both in-house and through external counsel) of transaction documents, carry program documents, board resolutions, vendor contracts, NDAs, etc.
- Ensure comprehensive compliance with federal and state securities laws, including the SEC, CFTC, and relevant industry regulations.
- Collaborate with firm’s Investor Relations team in terms of review of marketing materials, investor presentations, and RFPs/ DDQ in connection with fundraising.
- Assist in drafting and management of company policies, including those specifically applicable to NYSE-listed public companies
- Provide support for corporate transactions, including oversight of due diligence and drafting of PSAs, JV agreements and financing agreements
- Prepare and review various internal and external legal documents related to employment matters, NDAs with respect to private company investments, and vendor reviews related to various service provider contracts related to fund operations.
- Collaborate with the firm’s compliance and finance teams on the preparation of various regulatory filings and monitoring of economic and governance terms in fund governing documents and investor side letters.
Qualification and Experience Qualifications:
- JD Degree from an accredited, top-tier law school.
- 5-10 years' prior legal experience with either a top law firm and/or in-house experience at a Hedge Fund/Private Equity Fund
