Job Summary
The Paralegal is responsible for supporting commercial sales and service teams with legal review, drafting agreements, managing contract terms, and ensuring compliance with various legal and regulatory requirements. This role involves close collaboration with business units, managing customer disputes, and driving improvements in paralegal processes.
Essential Duties and Responsibilities include, but are not limited to:
- Support commercial sales and service with respect to legal review of customer terms, bid tender submissions, HIPAA Business Associate Agreements, and customer disputes
- Support commercial sales and services with legal review of government contract terms and conditions
- Draft commercial sales and services agreements with customers, including revisions to customer terms and conditions
- Draft commercial sales and services agreements with group purchasing organizations and integrated delivery networks
- Train commercial sales and service on “battle of the forms” process, term interpretation and drafting agreements
- Draft standard agreements (e.g., confidential disclosure, material transfer, evaluation, and professional services agreements)
- Engage with external customers and their legal representatives regarding contract terms
- Provide guidance as required
- Perform legal research as required
- Maintain library of forms and resources
- Owner of the paralegal request SharePoint site to ensure turnaround targets are met
- Responsible to drive for improvements in paralegal process SharePoint and identify opportunities that impact turnaround times and impact to revenue
- Develop written procedures, workflow plans or other systems for practice areas as required
- Professionally and diplomatically resolve issues regarding customer concerns and other matters as necessary
- Apply innovative problem-solving skills and judgment to assist in managing corporate risk
- Identify best practices to influence continuous improvement in the organization

- Familiar with anti-kickback, HIPAA, and medical device industry
- Ability to work closely with business units, as necessary, while maintaining independent judgment and decision-making skills
- Ability to apply analytical skills to interpret data and use independent judgment and discretion in developing solutions to address a variety of issues regarding contracts and related problems of moderate scope and complexity
- Ability to quickly acquire knowledge of new business activities or issues

- Demonstrated ability to work with outside counsel and to interact with senior management

Education/Experience
- BA/BS from an accredited college or university, a paralegal certificate from an ABA accredited school (or any equivalent combination of related experience, training, and/or education), plus five or more years of experience as a paralegal which should preferably be in-house for a corporation.
