Job Description:
The Sr. Counsel (M&A) will join OneOncology’s M&A team to be an integral part of OneOncology’s legal team with primary responsibility to support OneOncology’s development and expansion functions. We currently have 25 partner practices on our oncology MSO platform and are highly focused on investment in enhancements to their technology offerings, research participation, and growth opportunities to add additional sites of care, service lines and providers that will enhance patient’s access to high-quality, low-cost cancer treatment in communities closer to home. In 2024, OneOncology added 6 new partner practices to its oncology MSO platform, acquired Navigating Cancer, LLC, a premier patient portal and patient education tool to incorporate into the technology suite offered to our partner practices, assisted our existing partner practices in growing locally by adding 17 site locations and more than 100 physicians, respectively, and expanded our mission to support urology-focused community-based practices by acquiring United Urology Group, a national urology management services organization, supporting more than 250 providers with more than 1,300 employees, to drive quality-based outcomes through the continuum of care for patients with urologic diseases and cancers.
Substantive areas of work will include: (i) advice and counsel on various physician practice growth opportunities (new markets and add-on transactions for existing markets); and (ii) drafting and negotiating commercial and healthcare-related transaction documents for the OneOncology and United Urology platforms, with a focus on acquisitions, joint ventures and vertical integration of our practices (radiation, multi-specialty, de novo growth, etc.).
Responsibilities:
Advise and counsel OneOncology’s partner practices on add-on transactions, joint ventures, subsidy programs, physician recruitment and employment and practice governance matters to facilitate such contemplated growth, with primary responsibility for multiple practices across OneOncology’s network and United Urology’s network.
Review, draft, negotiate and close physician practice transactions (new market affiliations and tuck-in transactions in existing markets), including asset purchase agreements, management service agreements, employment agreements and supporting documents across the OneOncology and United Urology network.
Coordinate with and build consensus amongst OneOncology’s internal departments, such as finance, operations, integrations, human resources, and compliance, to meet physician practice affiliation needs, including primary responsibility for interfacing with the business development team on practice partnerships or affiliations.
Manage outside counsel tasks and projects for assigned OneOncology and/or United Urology practice partnerships or affiliations
Provide rapid, practical, business-oriented legal and M&A strategic advice directly to business stakeholders.
Support business stakeholders in negotiating price and transaction terms in acquisition and affiliation documents.
Apply innovative problem-solving skills and practical business judgment to maximize revenues, minimize risk and foster long-term clinical and business partner relationships.
Collaborate with and facilitate cross-team decision-making among internal teams.
Manage assigned projects to completion.
Assist more senior counsel and management in higher level matters, as needed.

Key Competencies:
Healthcare or services industry mergers and acquisitions experience
Proven ability to lead M&A transactions
Familiar with healthcare anti-kickback, self-referral, fraud and abuse laws, and HIPAA
Demonstrated success working in a fast-paced, high-performing, results-driven environment
Ability to draft and close transaction agreements with minimal support from senior staff
Demonstrated ability to think and decide quickly, and to communicate legal issues and solutions clearly and concisely
Self-starter with the ability to work efficiently with minimal supervision
Ability to manage and bring complex projects to close
Qualifications
Juris Doctorate from an accredited law school
Member of a state or DC bar
5-10+ years of relevant legal experience in a law firm or corporate legal department
