The Legal department has deep expertise in all core practice areas relevant to a global media and information company, including labor and employment, commercial agreements across all our businesses, privacy, intellectual property, M&A, litigation, corporate governance, compliance, media law and a variety of other specialties.
About the Role :
This Legal Counsel role will oversee a broad variety of legal work including commercial and transactional work, advising business leaders on legal and commercial issues focusing on Dow Jones' B2B businesses including Factiva, Dow Jones Risk & Compliance, Dow Jones Newswires, OPIS and Chemical Market Analytics in North and South America (the "Americas"). The role involves providing professional, timely, cost-effective, practical legal advice and support, managing risks while facilitating commercial goals.
The position will report to the Assistant General Counsel who supports our OPIS and Chemical Market Analytics business, with a dotted line to the Associate General Counsel who supports our Factiva, Dow Jones Risk & Compliance, Dow Jones Newswires in the Americas.
You Will:
- Be responsible for commercial legal matters arising in the Americas region, including but not limited to advising Sales in relation to negotiation and structure of licensing transactions, and advising relevant personnel in relation to negotiation and structure of relationships with information providers, vendors, consultants, and distributors;
- Review and negotiate inbound content and data licensing agreements, software development agreements, consulting agreements, NDAs and maintenance agreements;
- Participate in activities to support the B2B sales and product teams, such as revising and updating contract templates, conducting training sessions for the B2B sales team in the Americas, sharing knowledge of legal and commercial policy changes both to legal and business colleagues;
- Identify and evaluate legal and business risks in commercial operations to liaise with business leaders and other members of the Dow Jones legal department regarding solutions to those risks;
- Handle disputes at the commercial level and liaise with our litigation team on the rare occasion a dispute moves beyond a commercial solution;
- Participate in frequent but ad hoc projects which may be region specific or global in nature; and
- Maintain updated knowledge of legal and regulatory developments notably around GenAI, privacy laws and commercial licensing that are relevant to Dow Jones.
You Have:
- Juris Doctor (JD) degree from an accredited law school
- Admission to the bar
- At least 5-7 years of relevant transactional and advisory legal experience, with at least 2 years in-house experience preferred
- Experience with and good knowledge of commercial and intellectual property law together with a broad understanding of general legal issues
- Excellent oral and written communication skills, with attention to detail. Fluency in spoken and written English required; capability in Spanish desirable.
- Able to multi-task in a fast-paced environment and exercise good judgment in setting priorities
- High level of initiative and self-motivation, with an ability to work in a collaborative and congenial team environment or independently
- Ability to work with clients from varying disciplines and geographic backgrounds
- Demonstrated ability to identify and discuss issues with or present to high-level executives and decision makers
- Superior work ethic and dedication to ethics and professional responsibility

Pay Range: $195,000.00 - $240,000.00
