Job Description
Revalize Software is looking for a highly motivative and forward-thinking General Counsel to lead the global Legal function. This position will report to the CFO and offers the opportunity to work for a fast-paced, growth-oriented PE-backed software company. S/He will be responsible for managing the global legal function including the areas of commercial contracting, corporate governance, risk mitigation and security. In addition, the General Counsel will assist with legal due diligence and legal function integration for newly acquired companies. In this role, s/he will also serve as the Chief Privacy officer ensuring the organizations compliance with global data privacy laws and regulations, safeguarding sensitive information, implement policies to protect both customer and employee data.
The successful candidate will have the ability to communicate effectively with executive leadership, lead a team of legal professionals, tackle multiple projects, and efficiently execute on deliverables. This role requires a proactive leader actively involved in day-to-day operations with strong leadership skills and solid business acumen. S/He should be capable of driving results and improving processes. This person will have operated successfully in a fast-paced, global, results-oriented environment.
Responsibilities:
- Manage the contracting processes for the sale of Revalize products and services including Master Services Agreements, Statement of Works and Partnership Agreements. This includes negotiation, drafting and review of complex commercial contracts including software license, service agreements and partnership deals.
- Drive standardization and continuous improvement of commercial contract terms
- Serve as a cross-functional business partner by providing expert guidance to teams on legal risks, ensuring business compliance and mitigating potential liabilities.
- Lead the legal integration of acquired entities, ensuring alignment with corporate policies, legal compliance, and seamless transition of contracts and IP assets
- Oversee corporate secretarial matters and full legal compliance across all jurisdictions. Drive legal entity rationalization initiatives to minimize compliance costs
- Recommend, implement and improve information security and privacy-related policies, guidelines and controls to prevent the unauthorized use, release, modification, or destruction of data
- Assist with employee agreements related to equity compensation, offer letters and separation agreements
Qualifications
- Must reside in either Eastern or Central time zone of United States
- Juris Doctorate degree
- Active license to practice law
- 15 years of progressive legal experience with at least 3 years in a leadership role managing a global legal team required. Experience with German law preferred
- Solid understanding of corporate, commercial, and intellectual property law and contractual principles and experience drafting and negotiating technology-related subscription agreements for cloud-based offerings
- Practical knowledge and experience in writing and implementing privacy protection strategy, policies and procedures and implementation of privacy training and awareness programs to staff
- Travel expected <5%
